These Terms of Service (“Terms”) form a binding agreement between you and Vick Solutions Pty Ltd (ABN 34 657 016 487) trading as Digital Roadmap (“Roadmapp”, “we”, “us”) governing your use of the Roadmapp project and portfolio management platform at app.roadmapp.com.au. By accessing or using the Service, you agree to these Terms.
You must be at least 18 years old and authorised to enter contracts on behalf of your organisation to use the Service. The Service is for business and professional use only.
The Service is currently offered as a closed pilot programme. Pilot access is by invitation only following completion of a Pilot Programme Agreement. During the pilot:
You are responsible for maintaining the confidentiality of your account credentials, all activity under your account, and ensuring your account details are accurate. Notify us immediately of any unauthorised access at hello@roadmapp.com.au.
You must not use the Service to: (a) violate any law; (b) infringe third-party intellectual property rights; (c) upload malicious code; (d) attempt to gain unauthorised access to other accounts or systems; (e) engage in scraping, automated access, or reverse engineering; (f) transmit harmful, defamatory, or offensive content.
You retain all ownership of data you upload to the Service (“Your Content”). You grant Roadmapp a limited, non-exclusive licence to host, store, and process Your Content solely to provide the Service. We will not access Your Content except as necessary to provide and support the Service, or as required by law.
The Roadmapp platform, including all software, designs, and documentation, is owned by Vick Solutions Pty Ltd and protected by Australian and international intellectual property law. No licence to our intellectual property is granted except the limited right to use the Service as described in these Terms.
Our Privacy Policy governs the collection and use of personal information and is incorporated into these Terms by reference. The Privacy Policy is written to satisfy the Privacy Act 1988 (Cth), EU GDPR, and UK GDPR.
Organisations subject to the GDPR or UK GDPR may execute our Data Processing Agreement (DPA), which incorporates EU Standard Contractual Clauses (Module 2) and the UK International Data Transfer Agreement (IDTA).
Each party will keep the other’s non-public information confidential and use it only to perform obligations under these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
The Service uses Supabase (database and authentication), Netlify (hosting), and Microsoft Graph API (email). These sub-processors are listed in our Privacy Policy and are bound by data protection obligations. We are not responsible for the practices of third-party services you choose to integrate with.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THIS LIMITATION APPLIES TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROADMAPP’S AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE IS LIMITED TO AUD $100. IN NO EVENT WILL ROADMAPP BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
Nothing in these Terms limits liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded by law.
These Terms continue until your account is terminated. Either party may terminate at any time on 30 days’ written notice. We may terminate immediately for material breach. On termination, your access ceases and we will retain your data for 30 days to allow export, after which it will be deleted.
We may update these Terms. We will provide at least 14 days’ notice of material changes by email or in-app notification. Continued use after the effective date of the updated Terms constitutes acceptance.
These Terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales.
For EU users: nothing in these Terms excludes mandatory rights under EU GDPR or applicable EU consumer protection law. For UK users: nothing in these Terms excludes mandatory rights under UK GDPR or the Data Protection Act 2018.
These Terms (together with the Privacy Policy, DPA where executed, and any written pilot agreement) constitute the entire agreement between the parties regarding the Service.
If any provision is unenforceable it will be modified to the minimum extent necessary. Failure to enforce any provision is not a waiver of the right to do so later.

When Roadmapp processes personal data on your organisation’s behalf as a data processor, it does so only on documented instructions. The DPA governs that relationship.
Personal data is stored in AWS ap-southeast-2 (Sydney, Australia). EU transfers are protected by EU SCCs (Module 2). UK transfers are covered by the UK adequacy decision for Australia; onward US transfers use the UK IDTA.
We will notify your organisation within 48 hours of becoming aware of a qualifying breach, providing information needed for you to meet the 72-hour supervisory authority notification requirement.
We will give at least 30 days’ prior written notice of any new sub-processor processing EU or UK personal data. You may object; if unresolved, you may terminate without penalty on 30 days’ notice.
